  1. VALIDITY OF GENERAL TERMS AND CONDITIONS<\/b><\/li><\/ol>

    1.1. Terms<\/b><\/p>

    1.1.1. The HalaGo website is managed and operated by<\/span> esimba.ai<\/span><\/a>, with connectivity services being supplied by the same entity.<\/span><\/p>

    1.1.2. These terms and conditions, as may be amended from time to time, shall apply to all services rendered by HalaGo in connection with the prepaid eSIM profiles provisioning to Clients.<\/span>
    <\/span>By accessing, browsing, and using our website or any of our applications through whatever platform (hereafter collectively referred to as the \u201cwebsite\u201d) and\/or by completing an order, you acknowledge and agree to have read, understood and agreed to the terms and conditions set out below and the privacy statement.<\/span><\/p>

    1.1.3. Special offers through various business partners may incorporate additional or varied terms and conditions. In such circumstances, those special terms and conditions will prevail.<\/span><\/p>

    1.2. Registration and Accounts<\/b><\/p>

    1.2.1. The \u0421lient may be required to create an account to use the HalaGo`s services. The \u0421lient agrees to provide accurate information during registration.<\/span><\/p>

    1.2.2. Clients are responsible for maintaining the confidentiality of their account information and for all activities that occur under their account.<\/span><\/p>

    1.3. Privacy<\/b><\/p>

    1.3.1. Our Privacy Policy governs the collection and use of Client\u201cs personal information. By using our services, the Client agrees to our Privacy Policy.<\/span><\/p>

    1.4. Termination & Suspension<\/b><\/p>

    1.4.1. HalaGo reserves the right to suspend or terminate access to the services without notice at any time due to the occurrence of an event arising from network collapse or cessation of maintenance provision.<\/span><\/p>

    1.4.2. In using the Services provided by HalaGo, the Client must not engage in any abusive, illegal, or fraudulent actions or take any actions that could impair or damage the Network. When the Client breaches this obligation, HalaGo may suspend the Client\u2019s use of the Service.<\/span><\/p>

    1.4.3. All bundles offered by HalaGo are intended exclusively for use by human Clients. These bundles must not be utilized within any automated system. In situations where usage within automated systems or by non-human entities is requested, the Client must contact Customer Support and request special bundles. Any violation of this usage restriction may lead to the termination of the agreement.<\/span><\/p>

    1.5. Refund and Cancellation policies and guidelines<\/b><\/p>

    1.5.1. Refunds are available for Clients anytime. Most issues can be solved by email.<\/span><\/p>

    1.5.2. After the refund is processed it may take 5-10 business days for the refund to show on the Client\u2019s payment card statement (if the payment was made via credit card). Via PayPal, it takes several minutes after issuing a refund. Refunds are issued to the same payment method (i.e. credit card or PayPal) used to make the purchase.<\/span><\/p>

    1.5.3. All refunds (except crypto payments) are subject to a 10% fee due to credit card and other payment system charges and processing resources required to provide a product and then cancel it and issue a refund.<\/span><\/p>

    1.5.4. HalaGo may offer data in an amount equal to what the Client paid for any accidental purchases.<\/span><\/p>

    1.5.5. Refills are not refundable.<\/span><\/p>

    1.5.6. HalaGo reserves the right to terminate services at any time. In such cases, no refunds will be provided.<\/span><\/p>

    1.5.7. Crypto payments are not refundable.<\/span><\/p>

    1.5.8. Supported networks for crypto payments: Ethereum, Tron, BNB Smart Chain, Avalanche C-Chain, Solana, Polygon, Arbitrum One.<\/span><\/p>

    1.5.9. Supported cryptocurrencies: \u2018USDT (TRC20)\u2019, \u2018BTC\u2019, \u2018DAI\u2019, \u2018AXS (ERC20)\u2019, \u2018DASH\u2019, \u2018DOGE\u2019, \u2018ETH\u2019, \u2018LTC\u2019, \u2018TUSD (ERC20)\u2019, \u2018USDC (ERC20)\u2019, \u2018USDT (ERC20)\u2019, \u2018XRP\u2019, \u2018TRX\u2019, \u2018AXS (TRC20)\u2019, \u2018HT (TRC20)\u2019, \u2018ETH (TRC20)\u2019, \u2018ETH (BEP20)\u2019, \u2018DAI (BEP20)\u2019, \u2018USDT (BEP20)\u2019, \u2018DESU (BEP20)\u2019, \u2018ADA (BEP20)\u2019, \u2018USDC (BEP20)\u2019, \u2018BTCB (BEP20)\u2019, \u2018CSC\u2019. Please note that there is a minimum limit for the payment for each cryptocurrency.<\/span><\/p>

    1. AFFILIATE PROGRAM<\/b><\/li><\/ol>

      2.1. By joining the HalaGo Affiliate Program, the Affiliate Partner will recommend to their users HalaGo products through their unique affiliate link.<\/span><\/p>

      2.2. The unique affiliate link must be used to track sales and allocate commissions accordingly.<\/span><\/p>

      2.3. The Affiliate Partner will earn a commission from the net revenue generated through purchases made using their affiliate link. Partners must accumulate a minimum of USD 25 in commissions before a payout is made. If the commission balance is below USD 25, the amount will roll over to the following month.<\/span><\/p>

      2.4. Commissions are paid during the first week of each month via Bank transfer, Crypto Wallet, Credit card link or Paypal.<\/span><\/p>

      2.5. Users who purchase eSIM products or refill their eSIM products will receive a discount on checkout.<\/span><\/p>

      2.6. HalaGo reserves the right to modify the terms and conditions of the Affiliate Program at any time. Any such modifications will be communicated to the Affiliate Partner in writing at least five days prior to their implementation.<\/span><\/p>

      2.7. HalaGo reserves the right to terminate the Affiliate Partner’s participation in the Affiliate Program under the following conditions:<\/span>
      <\/span>– If the Affiliate Partner breaches any term of this Agreement.<\/span>
      <\/span>– If the Affiliate Partner engages in any activity that is harmful to HalaGo\u2019s brand or business.<\/span><\/p>

      2.8. To commence participation in the HalaGo Affiliate Program, the Affiliate Partner must accept the invitation to join via the Affiliate Portal.<\/span><\/p>

      2.9. The Affiliate Partner will receive an email notification from HalaGo upon the first product purchase made through their affiliate link.<\/span><\/p>

      2.10. The Affiliate Partner can track their commissions at any time using the online daily reports provided by HalaGo.<\/span><\/p>

      2.11. HalaGo provides access to an API for the Affiliate Partner to use.<\/span><\/p>

      2.12. The Affiliate Partner agrees to use the provided tools and resources in compliance with Travel eSIM\u2019s guidelines and policies. Misuse or unauthorized use of the Affiliate Toolbar, reports, or API may result in the termination of the affiliate agreement.<\/span><\/p>

      2.13. HalaGo will provide necessary technical support and assistance to help the Affiliate Partner effectively use the Affiliate Toolbar, access reports, and integrate the API.<\/span><\/p>

      1. REFERRAL PROGRAM<\/b><\/li><\/ol>

        3.1. By participating in the HalaGo Referral Program, the Partner (hereinafter referred to as “Advocate”) can earn free data for every person who purchases their first HalaGo product using the Advocate’s unique referral link.<\/span><\/p>

        3.2. The Advocate must create and share their unique referral link via email, social media, forums, or other channels. The referral link must be used by the referred friend to purchase<\/span>
        <\/span>eSIM.<\/span><\/p>

        3.3. Rewards for Advocates:<\/span>
        <\/span>a. Free Data Coupon: The Advocate will receive a coupon for 3 GB of free data, valid for life*, applicable to their eSIM line.<\/span>
        <\/span>b. Conditions: The 3 GB data reward is provided when a referred friend uses the referral link to purchase eSIM**.<\/span>
        <\/span>c. Coupon Validity: The data coupon is valid for life, provided the eSIM is refilled at least once per year.<\/span><\/p>

        3.4. Rewards for Referred Friends:<\/span>
        <\/span>a. Data Coupon: The referred friend will receive a coupon for 3 GB of free data for their eSIM.<\/span>
        <\/span>b. Coupon Restrictions: The referral coupon may not be combined with any other coupons or discounts. Only one coupon (either referral or activation) may be applied to a purchase.<\/span><\/p>

        3.5. Conditions for Referral Reward:<\/span>
        <\/span>a. Minimum Purchase: The referred friend must purchase a new line with at least 1 GB of data using the referral link.<\/span>
        <\/span>b. Reward Issuance: The reward will be created within 6 hours of a successful purchase and sent via email within 7 days. The Advocate should check their inbox using the keyword “HalaGo” if they do not receive the notification mail.<\/span><\/p>

        3.6. For any issues or further assistance, the Advocate and the referred friend can contact HalaGo support.<\/span><\/p>

        3.7. The Advocate agrees to comply with the terms and conditions of the HalaGo Referral Program. Misuse or violation of these terms may result in disqualification from the program and forfeiture of rewards.<\/span><\/p>

        3.8. HalaGo reserves the right to modify the terms and conditions of the Referral Program at any time. Any such modifications will be communicated to the Advocate in writing at least 5 days prior to their implementation.<\/span><\/p>

        1. DISCLAIMER<\/b><\/li><\/ol>

          4.1. The materials on the HalaGo website are provided \u201cas is\u201d. HalaGo makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Further, HalaGo does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its website or otherwise relating to such materials or on any sites linked to this site.<\/span><\/p>

          4.2. Network operators in countries could be changed by the HalaGo without notice.<\/span><\/p>

          1. LIMITATIONS<\/b><\/li><\/ol>

            5.1. In no event shall HalaGo or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on HalaGo Internet site, even if HalaGo has been notified orally or in writing of the possibility of such damage.<\/span><\/p>

            1. REVISIONS AND ERRATA<\/b><\/li><\/ol>

              6.1. The materials appearing on the HalaGo website could include technical, typographical, or photographic errors. HalaGo does not warrant that any of the materials on its website are accurate, complete, or current. HalaGo may make changes to the materials contained on its website at any time without notice. HalaGo does not, however, make any commitment to update the materials.<\/span><\/p>

              1. LINKS<\/b><\/li><\/ol>

                7.1. HalaGo has not reviewed all the sites linked to its Internet website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by HalaGo of the site. Use of any such linked website is at the user\u2019s own risk.<\/span><\/p>

                1. APPLICABLE LAW AND JURISDICTION<\/b><\/li><\/ol>

                  8.1. These Terms shall be construed in accordance with the laws of the State of Delaware, USA. In the event that the Parties are unable to amicably resolve disputes through negotiations, such disputes shall be definitively settled through arbitration in the State of Delaware, USA, in adherence to the Arbitration Rules of the Arbitration Institute of the Stockholm Chamber of Commerce.<\/span><\/p>

                  1. SITE TERMS OF USE MODIFICATIONS<\/b><\/li><\/ol>

                    9.1. HalaGo may revise these terms of use for its website at any time without notice. By using this website, you agree to be bound by the current version of these Terms and Conditions of Use.<\/span><\/p>
